Acceptance
These Terms of Service (“Terms”) apply to the DIANAN TEXTILE website, catalog explorer, and RFQ tools. By accessing the site or submitting an RFQ or contact form, you agree to these Terms on behalf of yourself and, where applicable, your organization.
If you do not agree, do not use the site. Signed contracts, purchase orders, and order confirmations between your organization and DIANAN TEXTILE prevail over these Terms for confirmed production work.
B2B use only
This channel is intended for business buyers — apparel and home brands, trading companies, and similar commercial customers. We do not operate a consumer retail cart. Pricing, MOQ, sampling, and lead times are discussed in a B2B context and may require business identification.
RFQs, samples & quotes
Submitting an RFQ or sample request does not create a binding purchase obligation for either party. Online estimates, catalog information, and preliminary responses are indicative until confirmed in writing.
- Sampling: Availability, quantity, and shipping terms for free or paid samples are confirmed case by case.
- Quotes: Validity windows, currency, Incoterms, MOQ, and compliance scope are stated on the quote.
- Response time: We aim to acknowledge RFQs within one business day; complex programs may need longer for costing.
Orders & production
Production begins only after commercial terms are agreed (for example a confirmed quote, deposit, or signed agreement as applicable). Lead times start when artwork, specifications, and required approvals are complete.
- Changes after approval may affect price, MOQ, and schedule.
- Compliance claims apply only to certifications expressly included in the order scope.
- Shipping, customs, and duties follow the Incoterms stated in the order documents.
Intellectual property
Site content, catalog imagery, and DIANAN TEXTILE trademarks remain our property or that of our licensors. You may not scrape, republish, or commercially reuse catalog assets without written permission.
For custom production, you warrant that designs, logos, and artwork you supply do not infringe third-party rights and that you have authority to commission production. We may refuse or pause work that appears unlawful, infringing, or inappropriate.
Confidentiality
Non-public pricing, process details, and project specifications shared during RFQ and production should be treated as confidential by both parties, except information that is public, independently developed, or required to be disclosed by law.
Acceptable use
You agree not to:
- Attempt unauthorized access to systems, accounts, or data
- Upload malware or disrupt site availability
- Misrepresent your identity, company, or buying authority
- Use automated scraping in ways that overload or abuse the service
- Use the site for unlawful or deceptive purposes
Limitation of liability
To the fullest extent permitted by law, DIANAN TEXTILE is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or reliance on unpublished estimates. Our aggregate liability related to website use is limited to fees you paid us for the specific service giving rise to the claim, if any.
For confirmed orders, liability and remedies are governed by the applicable sales contract and order documents.
Governing law
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles, unless a signed contract specifies otherwise for a given order. Courts or arbitration venues stated in that contract control for commercial disputes under it.
